Master Platform Agreement, Commercial Licensing, AI Intellectual Property, and Content Infrastructure Rules

1.0 Agreement & Platform Scope

Welcome to ALOC Station(“ALOC”, “Platform”, “we”, “us”, or “our”), operated by Gathem CentaPoint Solution Spring LTD. These Terms of Service (“Terms”) constitute a legally binding agreement between ALOC and any developer, enterprise, educational institution, or individual (“Developer”, “User”, “you”) registering for, accessing, or consuming the ALOC API, SDKs, Developer Portal, vector endpoints, or assessment content infrastructure.

ALOC operates strictly as an assessment content infrastructure platform providing structured, curriculum-aligned examination questions, metadata taxonomies, and AI-enriched explanations. ALOC does not build student-facing computer-based testing (CBT) consumer platforms, revision apps, or school management portals.

By creating an account, generating an API Key, or issuing an HTTP request to any ALOC API endpoint (/api/v1/), you explicitly acknowledge that you have read, understood, and agreed to be bound by these Terms in full.

2.0 Authentication, API Keys & Account Security

  • API Authentication: API Keys (X-API-Key) are the primary mechanism for developer identity, credit accounting, and rate-limit enforcement. All keys must be safeguarded in secure server environments.
  • Client-Side Exposure Ban: You may not embed or expose raw ALOC API keys in client-side applications (e.g., publicly accessible Web browsers, decompilable mobile APKs/IPAs, or open-source repositories). All API requests must originate from your backend application servers.
  • Non-Transferability & Proxying Ban: Your API Key is issued strictly to your registered entity. You may not resell, rent, sublicense, share, or proxy your credentials to third-party organizations without prior written authorization.
  • Account Liability: You are solely responsible for all API requests, credit debits, and data access executed under your API credentials.
  • Compromise Notification: In the event of an API key leak or unauthorized access, you must revoke the key immediately via the Developer Dashboard and notify ALOC at legal@aloc.com.ng.

3.0 Commercial Rights & White-Labeling

  • Commercial Rights: Active paid subscription plans (Developer, Growth, Enterprise) grant you a non-exclusive, worldwide, revocable license to incorporate ALOC examination questions, metadata, and AI explanations into your commercial products, mobile apps, test-prep portals, and LMS platforms.
  • White-Label Exemption: Paid subscription tiers are completely white-label. You are not required to display “Powered by ALOC” or any ALOC branding within your end-user applications.
  • Free / Sandbox Tier Attribution: The Free Sandbox tier is strictly for technical evaluation and non-commercial prototyping. Any application serving questions retrieved from the Free Tier must visibly display “Powered by ALOC API” hyperlinked to https://aloc.com.ng.

4.0 Data Caching, Storage & Retention Policy

ALOC delivers live cloud assessment content. To ensure optimal end-user latency while safeguarding proprietary infrastructure against unauthorized replication, the following storage parameters are strictly enforced:

  • Permitted Operational Caching: Developers are expressly permitted to cache API responses ephemerally (e.g., in Redis, Memcached, or session memory) for up to forty-eight (48) hours solely to optimize latency and ensure smooth exam continuity during active user testing sessions.
  • Prohibited Permanent Cold Mirroring: Systematic bulk dumping, wholesale catalog synchronization, or cold-storage database replication designed to serve questions after subscription termination without live API metering is strictly prohibited under standard API plans.
  • Active Subscription Requirement: Commercial delivery of ALOC examination content requires an active, paid subscription. Upon subscription lapse or account cancellation, ephemeral question caches must be decommissioned.
  • Developer Data Ownership: You retain 100% exclusive legal ownership of all student response histories, grading scorecards, exam telemetry, candidate performance records, and custom analytics generated inside your application.
  • Offline & Air-Gapped Deployments: Organizations requiring permanent on-premise database exports (e.g., offline CBT centers, rural schools without internet, or government institutions) must execute a standalone Annual Enterprise Bulk Dataset License (starting at ₦500,000/year; contact enterprise sales for customized dataset scope).

5.0 Credit System, Metering & Subscriptions

Platform consumption is metered in Credits according to the computational complexity and value tier of the requested resource:

  • L1 — Raw Questions (1 Credit): Question text, options choices, and verified answer key.
  • L2 — Metadata Taxonomy (3 Credits): Topic & subtopic classification, curriculum mapping, difficulty scores.
  • L3 — AI Explanations (10 Credits): Step-by-step pedagogical solutions, conceptual simplifications, common mistakes.
  • L4 — Intelligence & Similarity (10 Credits): Vector embeddings, question similarity clustering, and syllabus trend telemetry.

Subscriptions renew automatically on a 30-day recurring cycle. Paid tiers include soft-cap overage allowances billed at standard tier rates. Credit pack top-ups remain valid for twelve (12) months. All subscription fees and credit pack purchases are non-refundable once the billing cycle begins.

6.0 Intellectual Property & AI Training Restrictions

  • Historical Examination Questions: Historical past examination questions (WAEC, JAMB, NECO, Post-UTME) are curated under educational fair-use reference standards.
  • Proprietary AI Content & Taxonomies: All AI-generated synthetic questions, step-by-step pedagogical explanations, curriculum classification trees, vector embeddings, and difficulty models are the exclusive intellectual property of ALOC.
  • Non-Redistribution: You may not resell, sub-license, publish, or redistribute ALOC content as an open dataset, raw SQL dump, or competing public API service.
  • AI Model Training Ban (No LLM Distillation): You may not use ALOC API responses, questions, metadata, or AI explanations to train, pre-train, fine-tune, distill, evaluate, or benchmark any third-party Large Language Model (LLM), neural network, or competing AI educational system.

7.0 Data Protection & Student Privacy (NDPA Compliance)

  • Zero Student PII Ingestion: ALOC is a content delivery layer. ALOC does not collect, ingest, process, or store personally identifiable information (PII) of your end-user students (e.g., student real names, biometric data, national identity numbers, phone numbers).
  • Data Controller Role: Under the Nigeria Data Protection Act (NDPA 2023)and applicable African privacy frameworks, you act as the sole Data Controller for your students' data. You are solely responsible for obtaining all necessary consents from candidates or parents.
  • Anonymous Exam Sessions: Exam sessions initialized via /sessions use anonymous UUID identifiers. You must not pass raw student PII in session request payloads.

8.0 Acceptable Use & Anti-Scraping Enforcement

To preserve platform vitality and prevent malicious exploitation, the following practices are strictly prohibited:

  • Mandatory Filtering: List endpoints require at least one explicit filter (e.g. subject, examType, year). Unbounded full-database scans are blocked at the gateway level.
  • Cursor Traversal: Results are paginated via opaque, time-limited cryptographic cursors. Automated scripts designed to systematically crawl sequential pagination without active end-user interaction are prohibited.
  • Automated Scraper Bots & Distributed Scraping: Using headless browser fleets, rotating proxies, or distributed bots to bypass rate limits is a material breach of contract.
  • Immediate Suspension: ALOC employs real-time behavioral anomaly detection. We reserve the absolute right to instantly suspend, throttle, or terminate any API key exhibiting bot-like harvesting patterns without prior notice or refund.

9.0 Content Accuracy & Warranty Disclaimer

  • “As-Is” Provision: The API, assessment items, metadata, and AI explanations are provided on an “AS IS” and“AS AVAILABLE” basis without warranties of any kind, whether express, implied, or statutory.
  • Curriculum & Syllabus Evolution: While ALOC strives for complete syllabus alignment, national examination bodies (WAEC, JAMB, NECO) frequently modify curriculum outlines, marking guides, and question styles. ALOC does not guarantee that past question structures will match future official exams.
  • High-Stakes Examination Outcomes: ALOC is a study and assessment preparation infrastructure. ALOC bears no legal liability for individual student test scores, institutional admission outcomes, or grading disputes between candidates and official examination bodies.

10.0 Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall ALOC, its directors, employees, partners, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, loss of data, loss of goodwill, or business interruption) arising out of or relating to your access to or inability to access the API.

ALOC's total aggregate liability arising out of or related to this agreement is strictly capped at the total amount paid by you in subscription fees during thethree (3) months immediately preceding the event giving rise to liability.

11.0 Dispute Resolution & Governing Law

These Terms shall be governed by, construed, and enforced in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to this contract, including its formation, breach, termination, or validity, shall first be submitted to informal negotiation for thirty (30) days. If unresolved, the dispute shall be referred to and finally resolved by binding commercial arbitration in accordance with the Arbitration and Mediation Act of Nigeria. The arbitration shall take place in Lagos State, Nigeria, and proceedings shall be conducted in the English language.
